Rights and Duties of Agent

 An agent is someone who acts on behalf of another person or organization, typically in a corporate or legal situation. Agents are given specific rights and obligations that are necessary for their role to perform properly.

An agent's rights are as follows:

1. Compensation : Agents have the right to be compensated appropriately for their services, as agreed upon in the agency agreement or contract.

2.Reimbursement: An agent is entitled to reimbursement for any reasonable expenses paid while executing responsibilities on behalf of the principal (the person or organization they represent).

3. Idemnitification : Agents are entitled to be compensated by the principal for any liabilities or losses incurred during the course of their agency, as long as they acted within the scope of their power and in the best interests of the principle.

4. Instructions : Agents are entitled to clear and reasonable instructions from the principal. They should be made aware of the expectations, goals, and constraints of their power.

5. Confidentiality : Agents have the right to retain confidentiality and not disclose any sensitive information discovered during the course of their agency, unless compelled by law or permitted by the principal.

6. Fair Treatment : Agents have the right to be treated fairly and should not be exposed to any type of discrimination or harassment while performing out their tasks.

Agent's Responsibilities:

1.Allegiance: One of an agent's key responsibilities is to act in the best interests of the principal and prevent any conflicts of interest that would jeopardize their allegiance.

2.Obedience: Agents must obey the principal's authorized instructions as long as they do not violate the law or the provisions of the agency agreement.

3. Reasonable Skill and Care : Agents must exercise reasonable skill and care in carrying out their responsibilities, ensuring that they behave diligently and competently.

4.Full disclosure: Agents must reveal all essential information about their agency and any potential conflicts of interest to the principal.

5.Accounting: Agents must keep accurate and transparent records of all transactions and money pertaining to their agency, as well as provide periodic reports to the principal as required.

6.No delegation: An agent cannot delegate their tasks to another party unless explicitly approved by the principal.

7. Duties of Good Faith : Agents must behave honestly and in good faith, avoiding any activities that could harm the principal or violate their trust.

8.Self-dealing should be avoided: Agents should not enter into deals that profit them personally at the expense of the principal.
